Introduction	Introduction Middle East Healthcare Company (Saudi German Health) announces that the Board of Directors issued a resolution dated 03/05/2026 approving the resignation of Dr. Makarem Sobhi Batterjee from the membership of the Audit Committee effective 03/05/2026, while continuing his duties as Vice Chairman of the Board of Directors (Non-Executive Member). This step is for supporting and enhancing board committee’s governance structure further to strengthen the independence of the Committee, in line with the best governance practices. The Board of Directors resolved to appoint Dr. Ghazi Saleh Hasanain (Independent Board Member) as a member of the Audit Committee effective 04/05/2026, to complete the current term of the Committee ending on 16/09/2026. The Company confirms that these changes are part of its ongoing efforts to enhance the independence and effectiveness of Board Committees, adopting corporate governance best practices with no material financial impact on the Company. In this context, the Board of Directors extends its sincere appreciation to Dr. Makarem Sobhi Batterjee for his role during his tenure on the Audit Committee. He holds a Ph.D. in Civil Engineering from the Missouri University of Science and Technology, USA. Dr. Hasanain has held prominent academic and leadership positions at several prestigious universities, including King Abdulaziz University, King Fahd University of Petroleum and Minerals, and King Abdullah University of Science and Technology and he has vast experience in project management, marketing, and institutional development. Dr. Hasanain is an active member of several national and international engineering associations, including the American Society of Civil Engineers (ASCE) and the American Concrete Institute (ACI).
